Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the CertiFlex platform and related services (the “Service”), including distribution chain mapping, promotional content monitoring, pre-publication checks, evidence generation, and related reporting, made available by ButterLabs.ai Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 79/8 Outer Ring Road, Bellandur, Bangalore – 560013 (the “Company”, “we”, “us” or “CertiFlex”). By accepting these Terms, the customer identified in the applicable Order Form (the “Customer”, “you”) agrees to be bound by them.

1. Definitions

In these Terms, unless the context requires otherwise:

  • “Authorized Users” means the Customer’s personnel whom the Customer authorises to access the Service under its account.
  • “Customer Data” means data, content, configuration, partner lists, creatives, and materials submitted to or generated through the Service by or on behalf of the Customer, excluding Platform IP and Derived Materials.
  • “Distribution Chain” means the mapped network of partners, intermediaries, handles, domains, and related assets associated with the Customer’s promotional footprint as represented in the Service.
  • “Findings” means alerts, scores, classifications, statute references, verbatim spans, screenshots, and other outputs produced by monitoring or pre-publication checks.
  • “Order Form” means an ordering document that references these Terms and sets out fees, scope, pilot period, crawl frequency, and enabled products.
  • “Platform IP” means the Service, software, statutory corpus, detection rule packs, knowledge bases, algorithms, and all intellectual property in them.
  • “Regulated Entity” means an entity subject to RBI, SEBI, IRDAI, or other Applicable Law governing financial or insurance promotion, as configured for the Customer.

2. Acceptance and Order Forms

These Terms bind the Customer when the Customer executes or accepts an Order Form, clicks to accept electronically, or accesses or uses the Service, whichever occurs first. Commercial particulars — including pilot duration, monitoring scope, packs, and fees — are set out in the Order Form. In case of conflict, the Order Form prevails over these Terms where it expressly varies a provision.

3. The Service

3.1 Scope

CertiFlex provides tools to map distribution partners, monitor publicly available promotional content, run pre-publication checks on submitted creatives, and generate evidence-oriented outputs grounded in configured legal instruments. The Service assists the Customer’s governance process; it does not replace the Customer’s compliance function, legal advice, or regulatory filings.

3.2 No legal or regulatory guarantee

Findings are produced by automated and human-assisted processes against a versioned statutory corpus. The Company does not warrant that use of the Service will prevent regulatory action, penalties, or brand harm, or that every violation will be detected.

3.3 Customer decisions

The Customer retains sole responsibility for business, marketing, and compliance decisions — including whether to publish, amend, escalate, or takedown content — and for interactions with regulators, partners, and platforms.

4. Customer obligations

  • Provide accurate entity, licence, and contact information and keep Authorized User access controlled.
  • Ensure lawful basis and necessary consents for processing of personal data submitted to the Service, including where partner or creator content is involved.
  • Not use the Service to violate Applicable Law, infringe third-party rights, or circumvent platform terms of use.
  • Not reverse engineer, scrape, or resell the Service except as expressly permitted in an Enterprise Order Form.

5. Data and confidentiality

Each Party will protect the other’s Confidential Information using reasonable care. The Company may use aggregated, de-identified data to improve detection quality and regulatory intelligence, as described in the Order Form or privacy notice. Customer Data remains owned by the Customer; the Company receives a licence to process it to provide the Service.

6. Fees and pilots

Fees, pilot terms, and payment schedules are set out in the Order Form. Unless otherwise stated, pilot access is time-bound and may convert to a paid subscription on mutual agreement. Late payment may result in suspension after notice.

7. Intellectual property

The Company retains all Platform IP. The Customer receives a limited, non-exclusive licence to use the Service and Findings for its internal business and regulatory purposes during the subscription term. Feedback may be used by the Company without restriction.

8. Limitation of liability

To the maximum extent permitted by Applicable Law, the Company’s aggregate liability arising out of these Terms or the Service shall not exceed the fees paid by the Customer in the twelve (12) months preceding the claim. Neither Party shall be liable for indirect, incidental, special, or consequential damages, including loss of profits or regulatory fines, except where liability cannot be excluded by law.

9. Term and termination

These Terms continue for the term stated in the Order Form. Either Party may terminate for material breach not cured within thirty (30) days of notice. On termination, access ceases and the Company will delete or return Customer Data per the Order Form and Applicable Law.

10. Governing law

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory statutory remedies.
